VALORS

INFLUENCER & AFFILIATE REVENUE SHARE AGREEMENT

This Agreement governs participation in the Valors Influencer & Affiliate Network (“Valors Network”).

1. PARTIES

Company:
Valors Advertising Services FZE and/or its affiliates (“Valors”)

Publisher:
Influencer / Affiliate / Content Creator approved on Valors platform (“Publisher”)

2. SERVICES & CAMPAIGNS

2.1 The Publisher shall promote campaigns listed on their Valors account.

2.2 Campaign details including:

• Countries

• Business Model (CPS / CPA / Hybrid)

• Rates

• Tracking links / codes

Shall be as displayed on the Publisher’s Valors account or campaign agreement.

2.3 Valors may amend, pause, or terminate campaigns at any time.

3. COMMERCIAL MODEL (REVENUE SHARE)

3.1 Publisher earns commission only on validated conversions approved by:

• Advertiser

• Platform

• Valors tracking

3.2 Any of the following are excluded:

• Cancelled orders

• Refunded transactions

• RTO

• Fraud or self-conversions

3.3 Valors’ reporting and advertiser validation are final and binding.

4. PAYMENTS & INVOICING

4.1 Payment Cycle:

• Monthly billing period

• NET 30 or NET 45 from invoice / statement date (per campaign)

4.2 Valors may issue:

• Revenue Statement

• Self-Invoice if Publisher fails to invoice

4.3 Minimum payout threshold may apply.

4.4 Publisher is solely responsible for:

• Taxes

• Bank fees

• Correct payment details

5. CONFIDENTIALITY & NON-CIRCUMVENTION

5.1 All campaign data, pricing, advertisers, and relationships are Confidential Information.

5.2 Publisher shall not:

• Contact or contract directly with Valors’ advertisers

• Bypass Valors during or within 6 months after termination

5.3 Any breach gives Valors the right to:

• Terminate immediately

• Withhold unpaid commissions

• Seek damages

6. CONTENT & COMPLIANCE

6.1 Publisher content must:

• Follow platform policies

• Include disclosure (#Ad / #Affiliate / #ValorsPartner)

6.2 Publisher is fully responsible for:

• Content claims

• Regulatory compliance

• Licenses required by local laws

7. FRAUD & MISUSE

7.1 Any suspected fraud may result in:

• Immediate suspension

• Commission forfeiture

• Legal action

7.2 Valors may retroactively reverse commissions.

8. TERM & TERMINATION

8.1 This Agreement is effective upon acceptance and remains valid until terminated.

8.2 Either party may terminate with written notice.

8.3 Valors may terminate immediately in case of:

• Policy breach

• Fraud

• Advertiser request

• Inactivity

9. LIMITATION OF LIABILITY

9.1 Valors’ total liability shall not exceed the commissions paid to the Publisher in the last 12 months.

9.2 Valors is not liable for:

• Advertiser decisions

• Platform tracking issues

• Revenue loss expectations

10. INDEPENDENT CONTRACTOR

Nothing herein creates:

• Employment

• Partnership

• Agency

Publisher acts as an independent contractor.

11. GOVERNING LAW

This Agreement shall be governed by the laws of:

• UAE (primary), unless otherwise stated by Valors entity.
